Important information
Before obtaining access to the Website or Services, please read the following information carefully and ensure you understand each provision. These Terms comprise an agreement between You and Accountable. By using this Website or Services, you confirm that you have read, understood, and accept all of the provisions contained in these Terms, including the Additional documents. These Terms apply to every territory where Accountable is available.
IF YOU DO NOT AGREE TO THE TERMS OF USE OR YOU ARE UNABLE TO COMPLY WITH THESE TERMS OR ANY ADDITIONAL DOCUMENTS, YOU MUST DISCONTINUE THE USE OF THE WEBSITE AND SERVICES NOW.
IN THIS CASE, DISCONTINUING THE USE TERMINATES THE AGREEMENT BETWEEN YOU AND ACCOUNTABLE.
FAILURE TO COMPLY WITH THIS DIRECTIVE MAY RESULT IN A VIOLATION OF THE APPLICABLE LAWS OR REGULATIONS.

Accountable is a technology services provider. The information contained by Accountable’s solutions is not investment advice. Trading financial instruments carry a high level of risk, and you are strongly advised to consult with your registered investor advisor. Do your own research and double-check the information. The use of an Accountable solution involves risks. While Accountable facilitates access to verifiable data, Accountable does not guarantee the accuracy of entered data or its reliability. - Preliminary provisions
- These Terms apply to the rights and obligations of the entities using the Services available at the Website, as well as the rights and obligations of the entity authorized to administer the Website – Accountable. Accountable owns and administers the Website, which acts as a front-end interface layer that allows Users use the Platform and Services.
- Availability of the Website for Users residing outside the territory of the British Virgin Islands may be limited in whole or in part. The list of countries with limited access to the Website can be found in the Restricted Territories document available at https://www.accountable.capital/restricted-territories/.You must be able to form a legally binding agreement online, either as an individual or on behalf of a legal entity. You represent that if you agree to these Terms on behalf of a legal entity, you have the legal authority to bind the company or other legal entity to these Terms, and you are at least 18 years old or the age of majority where you reside, whichever is older, can form a legally binding agreement online, and have the full, right, power and authority to enter into and to comply with the obligations under these Terms. By using the Website or Services, you declare that you meet the required age criteria. None of the Website or Services are intended for persons under 18 years of age.
- If a given service offered by Accountable requires separate regulation, or if it results from its specificity (e.g., promotions or trading competition), its terms and conditions may be specified in additional terms, other than these Terms, which, if indicated as Additional documents in sec. 3, will constitute an integral part of these Terms.
- IF YOU ENTER INTO A SEPARATE CONTRACT WITH ACCOUNTABLE THAT EXPLICITLY SUPERSEDES THESE TERMS, THESE TERMS SHALL REMAIN APPLICABLE TO THE EXTENT THAT THE SPECIFIC MATTER IS NOT ADDRESSED OR OTHERWISE PROVIDED FOR IN THAT CONTRACT. THESE TERMS SHALL NOT BE DEEMED SUPERSEDED OR WAIVED UNDER ANY CIRCUMSTANCES UNLESS EXPRESSLY STATED IN A SEPARATE CONTRACT YOU CONCLUDE WITH ACCOUNTABLE, AND ONLY TO THE EXTENT EXPLICITLY SPECIFIED THEREIN.
- These Terms apply to the rights and obligations of the entities using the Services available at the Website, as well as the rights and obligations of the entity authorized to administer the Website – Accountable. Accountable owns and administers the Website, which acts as a front-end interface layer that allows Users use the Platform and Services.
- Definitions
- In these Terms, except where it is explicitly stated otherwise, or where the context requires otherwise, the following terms, shall have the following meanings:
- “Accountable”, “us”, “we” – mean Accountable Limited, with its registered office at Floor 4, Banco Popular Building, Road Town, Tortola VG1110, registered with the Registrar of Corporate Affairs under the company number 2155063.
- “Additional documents” – mean the Terms and additional documents laid down in sec. 3 of the Terms.
- “Platform” – means digital infrastructure used to provide Services.
- “Restricted Territories” – means the countries indicated on the list available at: https://www.accountable.capital/restricted-territories/
- “Services” – mean, depending on the context, either of the following services, or all of them, jointly:
- Accountable Data Verification Service – a privacy-preserving system that verifies borrowers’ financial statements and generates reports without exposing sensitive information, enhancing trust and efficiency in crypto lending markets,
- Accountable Proof of Reserves – a specialized application of our data verification platform designed to generate transparent and privacy-preserving proof of reserve reports for stablecoin issuers and cryptocurrency exchanges,
- Yield App – a comprehensive platform aggregating and standardizing crypto credit opportunities, allowing users to compare, analyze, and directly interact with various lending options through a single interface.
- “Terms” – means these document of Terms of Use, including Additional documents.
- “User”, “You” – the person using the Services as an end-user, that accepted the Terms
- “Website” – means website available at https://www.accountable.capital/.
- Notwithstanding the provisions above:
- Clause headings and numbering are for reference only and do not affect the construction, precedence, or interpretation of these Terms.
- “Include” and “including” mean “including without limitation.”
- “In particular” and “particularly” mean “in particular, but not limited to”.
- Any obligation to act or refrain from acting includes an obligation to prevent or avoid allowing such action.
- Singular terms include the plural, and vice versa; references to any gender include all genders.
- References to a document include that document as amended, or modified except where inconsistent with these Terms.
- In case of inconsistency, these Terms and referenced documents, including Additional documents, shall be interpreted according to the following order of precedence.
- In these Terms, except where it is explicitly stated otherwise, or where the context requires otherwise, the following terms, shall have the following meanings:
- Additional documents
- These terms refer to Additional documents which also apply to you, i.e.:
- Privacy Policy – a document that lays terms under which we process any personal data we collect, or Users provide to us; Privacy Policy is available at https://www.accountable.capital/privacy-policy/;
- Risk Disclosure – a document that lays out risk that are connected with performing transactions using Services; Risk Disclosure is available at https://www.accountable.capital/risk-disclosure/;
- Additional documents constitute and integral part of these Terms.
- These terms refer to Additional documents which also apply to you, i.e.:
- Accountable’s role in the Services provision
- During the provision of the Services, no direct access to Users’ sensitive financial or crypto-asset data is granted. All computations and verifications occur locally on Users’ devices.
- Accountable does not collect, store, or process User data on our devices or take custody of the Users’ assets at any point.
- Accountable provides the technology and cryptographic tools to verify data and mark the Users with the “Powered by Accountable” label. The verifications and recommendations are given by third parties and only aggregated on the Website during Service provision.
- Users may deposit or borrow digital assets using the Services.
- The description of the Services, as well as all and any of its functionality or limitations has been presented on https://www.accountable.capital/terms-of-service/.
- By accessing and using the Services, you agree that you have read and understood the Services description and you accept its features and limitations.
- The Service does not support or enable purchasing, selling, or subscribing to crypto-assets.
- The Accountable Data Verification Platform Service:
- The Service enables Users to verify the financial status of other Users using privacy-preserving cryptographic methods (e.g., zero-knowledge proofs). It generates reports to support informed decisions, allowing data exchanges without revealing sensitive information.
- The Service aggregates data from third-party sources: blockchains, custodians, banks, and any other centralized venues. All computations occur locally on the User’s device, keeping information under User control.
- The Service does not access, store, or take custody of User assets or data. It is limited to developing and maintaining the data aggregation and sharing protocol. The Service merely provides data leaving Users to assess the economic status and potential of others.
- The Accountable Proof of Reserves Service:
- The Service provides cryptographic reserve verification for stablecoin issuers,cryptocurrency exchanges, and other relevant protocols (e.g. RWA). It demonstrates reserve holdings equivalent to liabilities without revealing asset specifics.
- The Service facilitates on-chain and off-chain verifications through APIs. The Platform provides Users with user interface (UI). The Platform is aggregated with third-party protocols that process that data, and the Protocol only validates the third-party signatures and proofs.
- The Service does not access, store, or take custody of User assets or data. It is limited to developing and maintaining the aggregation protocol.
- The Service does not provide personalized financial advice.
- The Service does not conduct credit scoring, offer predictions, or make recommendations about any User’s financial condition.
- The Service does not provide transaction recommendations.
- The Service does not present any recommendations or information other than explicitly indicated in these Terms.
- The Service provides cryptographic reserve verification for stablecoin issuers,cryptocurrency exchanges, and other relevant protocols (e.g. RWA). It demonstrates reserve holdings equivalent to liabilities without revealing asset specifics.
- Yield App:
- The Service aggregates and standardizes yield opportunities, enabling Users to compare and analyze verifiable data for transparency and integrity.
- The Service does not verify opportunities.
- The Service integrates with a proprietary data platform to promote those verifiable through integrations.
- The Service allows Users to independently assess factors like borrower financial health, stablecoin reserves, or off-chain performance. Integration with data platforms and data accessibility are User decisions.
- The Service does not provide personalized financial advice.
- The Service does not conduct credit scoring, offer predictions, or make recommendations about any User’s financial condition.
- The Service does not provide transaction recommendations.
- The Service supports transactions directly on the Platform or via third-party lending protocols according to the User’s choice.
- The Service offers investment simulations and analytics tools to aid decision-making, covering areas such as lending protocols and credit funds.
- The Service connects borrowers and lenders, interfacing with custodians, exchanges, brokers, and protocols.
- The Service enables Users to create pools or vaults for lending and borrowing, and/or to deploy them to third-party yield sources, or platforms. Crypto assets remain with lenders, as pools or vaults are smart contracts facilitating transactions. The Platform does not custody or access crypto-assets. Users retain full control.
- The Service enables Users to perform KYC, RFQ participation (public or private), settlements, and/or data platform integration, all performed by Users, based on their needs and requirements they need to fulfill. All of the components mentioned above are optional and depend on the pool owner..
- The Service enables Users to conduct transactions (e.g. borrowing, lending deploying, depositing, withdrawing etc.) on the Platform or initiate them on third-party protocols, based on the User’s preference.
- The Service enables Users to set up pools or vaults exclusively for lending purposes. Accountable does not manage or hold custody of assets within the pools or vaults. The pools or vaults do not facilitate the purchase, sale, or subscription to crypto-assets.
- The Service does not hold or manage User funds.
- Accountable reserves the right, at its sole and absolute discretion, to remove, modify, or reject any content of the Website, Platform, or Services for any reason.
- Under no circumstances should User nominate Accountable as their agent or broker for settlement purposes, and Accountable is not a designated agent. Users act as buyers or sellers of digital assets and purchase or sell digital assets through Services in their own name.
- No advice & Risk Disclosure
- The information provided on the Website does not constitute any sort of advice, and you should not treat any of the Website’s content as such. Accountable is not directly affiliated with or responsible for any cryptocurrency, token, or other digital asset and cannot be held liable with respect to either the price or features of such assets or your losses of them.
- Trading in and/or exchanging digital assets may involve risk. Accountable as software provider does not recommend that any asset be bought, sold, or held by you and the content and materials available on the Website should not be regarded as an offer, solicitation, invitation or recommendation to buy or sell investments, securities or any other financial services and is not intended to be relied upon by you in making any specific investment or other decisions.
- Before using Services, you must familiarize yourself with the risks associated with dealing with the Website or Services as set out in the Risk Disclosure document attached to these Terms.
- Important: The list of risks (Risk Disclosure) is not complete nor does it identify all possible risks. Other risks are not indicated in the list, and new or other risks may not be known at this time.
- We do not assume any of the risks associated with your use of our Services
- Do conduct your own due diligence and consult your financial advisor before making any investment decisions. You understand that blockchain technologies and other associated and related technologies are new, untested and outside of our control and may depend on the adverse changes in market forces or the technology. You understand the risks associated with blockchain systems; and warrant that you have an understanding of the usage and specifics of blockchain-based software systems.
- From time to time, reference may be made to data we have gathered. These references may be selective or, may be partial. As markets change continuously, previously published information and data may not be current and should not be relied upon.
- Our liability
- Website and Services are continuously developed during the prototyping stage, thus access to the Website and Services is provided on an “as is” and “as available” basis only and we do not guarantee an error-free process. Every effort is made to keep the Website and Services up and running smoothly. However, Accountable takes no responsibility for, and will not be liable for, the Website or Services becoming temporarily unavailable, especially due to technical issues beyond our control, nor will we accept any responsibility for money or tokens being lost because of Website, Services, or Platform working improperly, or a technical failure.
- Additionally, Accountable accepts no responsibility for and cannot guarantee the reliability of either the payment services provider or digital assets wallet provider that a user chooses in order to use Services.
- Accountable shall not be liable in any way to you or to any other person for the truthfulness, completeness, reliability, and accuracy of information or any other information or data. We shall not be required to make any investigation into and shall be entitled in good faith without incurring any liability to assume (without requesting evidence thereof) the validity, authenticity, and veracity of any documents, information, declarations or notices received with respect to the Website or Services. In this respect, we fully rely on the data providers involved and are not obliged to verify the information we receive independently. To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to the Website and the use of the Website.
- Accountable shall not be liable in any way to you or any other person with respect to any claim arising in relation to these Terms, save in the case of grossly negligent actions or omissions.
- Accountable will under no circumstances be liable to you for indirect punitive or consequential loss of any kind whatsoever (including but not limited to loss of profits, business, goodwill, or opportunity), whether or not foreseeable, even if advised of the possibility of such loss or damage and regardless of the form of action.
- WEBSITE AND SERVICES ARE PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH WEBSITE AND SERVICES OR THE USE OR OTHER DEALINGS IN WEBSITE AND SERVICES.
- Your rights and obligations
- By accessing Website or Services, you confirm and oblige the following:
- you are, as a person over 18 years old, eligible to enter into the agreement and use the Website or Services in accordance with these Terms;
- these Terms are valid, binding on you, and enforceable against you;
- if you are agreeing to these Terms on behalf of a legal entity, you have the legal authority to bind the company or other legal entity to these Terms;
- you will comply with all terms and conditions of these Terms;
- your jurisdiction allows you to use Services, and you are neither a citizen nor a resident of (including tax residency), nor are you currently located in any of the states or territories or any entity formed under the laws of the country which prohibits interacting with Services,
- you are neither on any of the U.S. Treasury Department’s Office of Foreign Asset Control’s sanctions lists, the U.S. Commerce Department’s Consolidated Screening List; the EU consolidated list of persons, groups or entities subject to EU financial sanctions, nor do you act on behalf of a person sanctioned thereunder or a U.S.-, EU- or UN-sanctioned state, nor are you or do you act on behalf of a person sanctioned by any other international body or organization;
- you will ensure that all information that you provide on the Website (if any) is correct, current, complete, and accurate;
- you are aware of the fact that the Internet is public and the use of Website and Services provided by electronic means may involve the risk of obtaining and modifying Users’ data by unauthorized persons; therefore Users should use appropriate technical means to minimize these risks, especially you will maintain the security and confidentiality of access to your digital asset wallet address; In particular, the use of antivirus programs by Users is justified,
- that any smart contracts you interact with are entirely your own responsibility and liability, and that Accountable is not party to the Services or any other smart contract solution; we have no control over, or liability for, the delivery, quality, safety, legality or any other aspect of any digital assets that you may transfer to or from a third party, and that we are not responsible for ensuring that an entity with whom you transact actually completes the transaction or is authorized to do so. If you experience a problem with any digital assets purchased from or sold to a third party through the Services, you bear the entire risk;
- at any time, your access to your digital assets may be suspended or terminated or there may be a delay in your access or use of your cryptocurrency assets which may result in the digital assets diminishing in value or you being unable to complete a transaction; this does not mean that Accountable will take over your digital assets; but, for example, even a temporary inability by you to access your account may cause you not to open an expected transaction at the expected time (and during this time the value may increase and you have no open transaction) or not to close a transaction at the expected time (and during this time the value may decrease and you have an open transaction).
- if you are a borrower of digital assets and if your collateral declines such that your collateral is no longer sufficient to secure your borrowed digital assets, other users may seize your collateral to close out your borrowed cryptocurrency asset balance;
- Website and/or application may be suspended or terminated for any or no reason, which may limit your access to your digital assets.
- You are prohibited from interacting with the Website or Services in cases where your jurisdiction disallows our exclusions of liability or applies mandatory laws overriding the Terms or any of its provisions. You are responsible for compliance with all of the applicable laws and regulations applicable to you.
- By accessing Website or Services, you confirm and oblige the following:

- By using the Website or Services, you confirm that you will not use the Website or Services to do any of the following:
- violate any applicable law, including, without limitation, any relevant and applicable anti-money laundering and anti-terrorist financing laws and any relevant and applicable privacy and data collection laws, in each case as may be amended;
- use the Website or Services for any purpose that is unlawful;
- export, reexport, or transfer, directly or indirectly, any Accountable technology in violation of applicable export laws or regulations;
- infringe on or misappropriate any contract, intellectual property, or other third-party right, or commit a tort while using the Website or Services;
- misrepresent the truthfulness, sourcing, or reliability of any content on the Website;
- use the Website in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Website or the Services or that could damage, disable, overburden, or impair the functioning of the Website or the Services in any manner;
- attempt to circumvent any content filtering techniques or security measures that Accountable employs on the Website, or attempt to access any service or area of the Website that you are not authorized to access;
- use, design, or assist in designing any robot, spider, crawler, scraper, cheats, exploits, hacks, mods or other automated means or interface not provided by us, to access the Website to extract data;
- introduce any malware, virus, Trojan horse, worm, logic bomb, drop-dead device, backdoor, shutdown mechanism, or other harmful material into the Website;
- post content or communications on the Website that are, in our sole discretion, libelous, defamatory, profane, obscene, pornographic, sexually explicit, indecent, lewd, vulgar, suggestive, harassing, hateful, threatening, offensive, discriminatory, bigoted, abusive, inflammatory, fraudulent, deceptive or otherwise objectionable;
- post content on the Website containing unsolicited promotions, commercial messages, or any chain messages or user content designed to deceive or trick the user of the Website; or
- encourage or induce any third party to engage in any of the activities prohibited under these Terms.
- The specific types of use listed above are representative but not exhaustive. - By using the Website or Services, you confirm that you will not use the Website or Services to do any of the following:
- Intellectual Property Rights
- The “Accountable” name, the Accountable logo, and the web domains and URLs, as well as the material published on them, are property of Accountable Ltd. Using our Website or Services does not give you ownership of any proprietary intellectual property rights in our Website or Services or the content you access. You may not use proprietary content from our Website or Services unless you obtain permission from its owner or are otherwise permitted by law. These Terms do not grant you the right to use any branding or logos used in our Website or Services. You may not remove, obscure, or alter any legal notices displayed in or along with our Services.
- Security
- We use industry-standard encryption methods to ensure the security of your data in accordance with applicable laws and regulations, but we cannot guarantee the full security of any data transmitted to payment service providers or Accountable. We take reasonable precautions to ensure that your data is not lost, misused, accessed, disclosed, altered, or destroyed.
- You are solely responsible for safekeeping your wallet and private information, including your private key, and you recognise and agree to use Services at your own risk.
- Accountable will never ask you to provide your payment account password. You should ensure that your computer is free from and shall not introduce into the Website or Services any malicious software. Prior to using our application, you are required to install up-to-date, industry-standard, and comprehensive anti-virus software to seek to prevent the introduction of any malicious software into Website or Services.
- Cookies and logs
- The Website does not automatically collect any information except for information contained in cookies. When using the Website, our servers automatically record information sent by a browser when you view the Website. The server logs may contain such information as network request, IP address, browser type, browser language, date and time of the request and one or more cookies.
- Cookies (so-called “cookies”) are IT data, in particular text files, which are stored in the User’s terminal equipment and are designed to use the Website’s functionality. Cookies usually contain the name of the Website from which they come, the time they are stored on your terminal equipment, and a unique number.
- Cookies are used by us for this purpose:

- The current Terms are available at https://www.accountable.capital/terms-of-service/.
- The Terms, as well as the Additional documents, may be regularly reviewed and updated as required. Each document comprising the Terms will include information on when it was last reviewed. You are advised to check these Terms periodically to familiarize yourself with any changes to the Terms. Please observe what version of the Terms to you before you visit the Website or enter into any transaction using Services.
- The Accountable, in its sole discretion, reserves the right to make changes to the Terms and or to issue new Terms in the course of the agreement with the User, in particular, due to changes in the applicable law or due to changes in the functionality of the Website or Services in order to provide its Users with more convenient terms of using both the Website and Services or in case of occurrence of other important reasons, including reasons of technological nature of the Website or Services functioning. Changes or new Terms are binding on Users and will take effect immediately upon posting. As a User, you agree to be bound by any changes, variations, or modifications to the Terms, and your continued use of the Website or Services shall constitute acceptance of any such changes, modifications, or variations.
- Unless a representation, which may be subject to change without notice from time to time, is expressed to be given at a specific date, each representation is deemed to be repeated by you each time you access the Website. When a representation is repeated, it is applied to the circumstances existing at the time of repetition. You accept that Accountable does not hold an obligation to verify your status with respect to your representations or obligations under the Terms.
- Jurisdiction and Governing Law
- Any dispute between the Users and Accountable shall be submitted to the exclusive jurisdiction of the competent courts of the British Virgin Islands, with the exclusion of any other jurisdiction or arbitration. This Disclaimer shall be governed by, construed, and interpreted in accordance with the substantive laws of the British Virgin Islands, excluding the British Virgin Islands conflict of law rules. The United Nations Convention for the International Sales of Goods (“Vienna Sales Convention”) is excluded.
- These Terms are governed by the laws of the British Virgin Islands. The Services are provided in accordance with British Virgin Islands law. All legal relationships between the User and Accountable arising from or connected to these Terms or the provision of Services shall be subject to the laws of the British Virgin Islands.
